Terms of Use

Effective from the date of publication.

These Terms of Use ("Terms") apply to the service available at mnemonlimited.com (the "Service"), provided by MNEMON LIMITED, registered at 5A Georgiou Griva Digeni, 2310 Lakatameia, Nicosia, Cyprus ("we," "us"). By using the Service or opening an account, you accept these Terms. If you do not accept them, you may not use the Service. You agree to receive records, notices, and updated Terms electronically, and that electronic signatures are valid, where the law allows.

§ 1. Your privacy first

1.1. We process your personal data in line with our Privacy Policy, which sets out what we collect, how it is used, who receives it, and the rights available to you. We encourage you to read it alongside these Terms.

§ 2. Licence to use the Service

2.1. Provided you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use.

2.2. You must not:

  • copy, modify, publish, or publicly display any part of the Service without our prior written consent;
  • interfere with the Service's technical infrastructure;
  • bypass or disable any security or access-control measure;
  • use the Service in a way that disrupts it or restricts others; or
  • transmit unlawful, offensive, or harmful content.

§ 3. Intellectual property

3.1. All materials in the Service — text, graphics, design, software, and logos — are owned by or licensed to us and protected by intellectual-property laws.

§ 4. About the Service

4.1. The Service is our software-as-a-service product, offered on the subscription plans described from time to time. Nothing here is a binding offer or a promise of continuous availability; paid plans are subject to the separate order terms shown at purchase.

§ 5. Content you provide

5.1. If you provide content, feedback, or information (a "Submission"), you confirm that you may share it, that it is accurate, and that it contains no third-party confidential information unless we requested it under a separate agreement. You grant us a royalty-free, worldwide licence to use and process it to operate and improve the Service. We need not review, reply to, or keep any Submission and may remove it at our discretion.

§ 6. Disclaimers

6.1. The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, non-infringement, or uninterrupted availability. Some jurisdictions do not allow such exclusions, so parts may not apply to you.

§ 7. Limitation of liability

7.1. To the maximum extent permitted by law, we and our officers, directors, and employees are not liable for indirect, incidental, or consequential loss arising from your use of the Service. Our total liability is capped at the amount you paid us, if any, in the three (3) months before the event giving rise to the claim; if you paid nothing, we bear no financial liability.

§ 8. Suspension and termination

8.1. We may restrict, suspend, or end your access to the Service at any time, with or without notice, including for breach of these Terms.

§ 9. Governing law and disputes

9.1. These Terms are governed by the laws of England and Wales. Any dispute not resolved within thirty (30) days will be finally resolved by arbitration under the LCIA Rules before a single arbitrator.

§ 10. Final provisions

10.1. These Terms are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the remainder continues in effect. We may update these Terms by posting a revised version; continued use means you accept the changes. For any questions, contact MNEMON LIMITED via info@mnemonlimited.com.
